Caller Terms

Effective date: October 14, 2026

These Caller Terms (the "Terms") govern your use of CallPayWall as a caller. They form a binding agreement between you and Paywall Inc., a Delaware corporation ("Company", "we", "us", or "our"). In these Terms, "you" or "Caller" means any person who places a call to a CallPayWall user, pays a fee to connect with a CallPayWall user, or uses the CallPayWall caller portal, including salespeople, telemarketers, and other commercial callers. A "User" or "Account Owner" means a person or business that uses CallPayWall to handle their inbound calls.

By calling a User through CallPayWall, by paying to connect, or by creating or using a caller portal account, you agree to these Terms, the CallPayWall Privacy Policy, the Call Recording and Consent Policy, the Refunds and Payments Policy, and the SMS / Messaging Terms, each incorporated by reference. If you do not agree, do not use the Service to reach Users.

1. How CallPayWall Works for Callers

1.1 CallPayWall is an AI phone gatekeeper that answers Users' inbound calls. When you call a User who uses CallPayWall, an automated AI assistant named Paige answers, screens your call, and classifies your intent before deciding whether and how to connect you.

1.2 Each User sets their own rules. Some Users allow certain callers (such as personal or non-commercial callers) to connect without charge. Other callers, in particular commercial, sales, and telemarketing callers, may be required to pay a fee set by the User to reach the User, or to use a paid feature such as leaving a message, scheduling a call, or sending an email pitch.

1.3 The amount of any access fee, and which callers it applies to, is determined by the User, not by the Company. Fees and available options are disclosed to you before you are charged, and you may choose whether to proceed.

2. Payment to Reach a User

2.1 To reach certain Users, or to use certain paid features, you must pay the applicable fee. Fees are processed through our payment processors and supported methods such as Apple Pay, as described in the Refunds and Payments Policy. The Company does not store full card numbers.

2.2 Payment buys access or a feature, not an outcome. Paying a fee entitles you only to the specific access or feature you purchased (for example, an attempt to connect to the User, the ability to leave a message, to request a scheduled call, or to submit an email pitch). It does not guarantee that the User will answer, accept your call, return your call, respond to your message, agree to a meeting, make a purchase, or engage with you in any way. A successful purchase is not a promise of a sale, a callback, or any business result.

2.3 Authorizations, holds, charges, refunds (including where a call is not connected or the User does not answer), chargebacks, and related matters are governed by the Refunds and Payments Policy (refunds-and-payments.md). Please review that policy before paying.

3. Recording and Consent

3.1 Calls processed through CallPayWall are answered and screened by AI and transcribed. Some calls, such as business calls, may also be recorded, but only after a spoken notice. Personal calls are not recorded. Voicemail and other messages you choose to leave are recorded. At or near the start of the call you will receive a spoken disclosure substantially similar to: "This call may be recorded and screened by an automated assistant." If you do not consent to being recorded or screened, you may end the call before continuing. Your participation after the disclosure may be treated as consent where permitted by law.

3.2 Full details, including jurisdictional considerations and your choices, are in the Call Recording and Consent Policy (call-recording-and-consent.md).

4. Information, Pitches, and Leads You Submit

4.1 During a call or through the caller portal you may provide information to the automated assistant or the User, including your name, company, contact details, the nature of your offer, and other details of your pitch (collectively, "Submitted Information").

4.2 You acknowledge and agree that Submitted Information, recordings, and transcripts may be stored, processed, summarized, classified, and made available to the relevant User, and may be shared, transferred, or resold as business leads consistent with the CallPayWall Privacy Policy and the User's use of the Service. CallPayWall includes features that allow Users to capture, store, and transfer or resell lead information.

4.3 You represent and warrant that you have the right to provide the Submitted Information, that it is accurate and not misleading, that you are authorized to make the offer or pitch you present, and that your provision of the Submitted Information and our and the User's permitted use of it (including storage and resale as leads) does not violate any law or any third party's rights, including privacy, confidentiality, intellectual property, or contractual rights.

4.4 Do not submit information you are not permitted to disclose, sensitive personal information you have no right to share, or information about third parties without authorization.

5. Anti-Spam, TCPA, and Telemarketing Compliance

5.1 If you call Users for commercial, sales, marketing, or telemarketing purposes, you are solely responsible for complying with all applicable laws governing such calls and messages, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, federal and state Do-Not-Call requirements, the CAN-SPAM Act, robocall and autodialer restrictions, A2P 10DLC and carrier rules, and any analogous laws in your or the User's jurisdiction.

5.2 You represent and warrant that you have any consents, registrations, and legal bases required to place your calls and to send any communications, that you honor opt-out and do-not-call requests, and that you will not use CallPayWall or any information obtained through it to send spam or unlawful communications.

5.3 You must not use the Service or any User's contact information for unauthorized solicitation, harassment, or any unlawful purpose, and you must not use the email-pitch, messaging, or scheduling features to send unsolicited or unlawful communications.

6. Caller Portal Accounts

6.1 If you create a caller portal account, you must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into these Terms.

6.2 The caller portal may let you view your prior interactions, messages, scheduled calls, and payment history, and manage outreach to Users. You may not share, sell, or provide access to your account to others without our authorization.

6.3 We may verify your identity and may use phone-number and PIN-based authentication, login links, and SMS verification, as described in the SMS / Messaging Terms. You consent to receive transactional messages necessary to operate your account.

6.4 We may suspend or terminate your caller portal account, decline transactions, or restrict your access at any time if we reasonably believe you have violated these Terms or applicable law, engaged in fraud or abuse, or created risk for the Company or its Users.

7. Acceptable Use

7.1 You agree not to:

  • use the Service for any unlawful, fraudulent, harassing, threatening, abusive, or deceptive purpose;

7.2 Violation of this Section may result in suspension or termination, forfeiture or reversal of access, withholding or denial of refunds where permitted, and other remedies available to us.

8. Disclaimers

8.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any User will answer, respond, or engage, that calls will be connected, or that the Service will be uninterrupted or error-free.

8.2 The Company is not a party to any relationship, transaction, or communication between you and a User and is not responsible for Users' conduct, settings, fees, or responsiveness.

9. Limitation of Liability

9.2 The Company's total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the total fees you paid to the Company through the Service in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

10. Indemnification

10.1 You will indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your calls and communications, your Submitted Information, your breach of these Terms, or your violation of any law or third-party right (including TCPA, telemarketing, anti-spam, and privacy laws).

11. Changes to These Terms

11.1 We may update these Terms from time to time. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

12.1 These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms, and you consent to personal jurisdiction and venue there.
