CallPayWall
End User License Agreement
Effective date: October 14, 2026
This End User License Agreement (this "EULA") is a legally binding agreement between you ("you" or "your") and Paywall Inc., a Delaware corporation ("Company", "we", "us", or "our"), governing your download, installation, and use of the CallPayWall mobile applications for iOS and Android, including the in-app AI assistant named "Paige", and all updates, upgrades, and accompanying documentation (collectively, the "Application").
The Application is licensed, not sold, to you. By downloading, installing, or using the Application, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the Application. Your use of the Application is also governed by our Terms of Service, our Privacy Policy, and our Acceptable Use Policy, which are incorporated by reference. In the event of a direct conflict between this EULA and the Terms of Service with respect to the Application, this EULA controls solely as to the matters it specifically addresses.
1. License Grant
Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application for your personal or internal business purposes, solely as follows:
- Apple devices. You may install and use the Application on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Application may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where applicable.
- Android devices. You may install and use the Application on any Android device that you own or control, as permitted by the Google Play Terms of Service and applicable usage rules.
This license is for the Application as made available through the Apple App Store or the Google Play Store (each, an "App Store"). All rights not expressly granted to you are reserved by the Company and its licensors.
2. License Restrictions
You will not, and will not permit any third party to:
- Copy, reproduce, distribute, publicly display, or publicly perform the Application, except as expressly permitted by this EULA;
- Modify, adapt, translate, or create derivative works of the Application;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Application, except to the limited extent expressly permitted by applicable law notwithstanding this restriction;
- Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Application available to any third party, including via a service bureau, hosting, or time-sharing arrangement;
- Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Application;
- Circumvent, disable, or interfere with security, authentication, payment, screening, or usage-control features of the Application;
- Use the Application to build a competitive product or service, or to copy its features or user interface;
- Use any automated means, bots, or scrapers to access or extract data from the Application, except as expressly permitted; or
- Use the Application in any manner that violates this EULA, the Terms of Service, the Acceptable Use Policy, or any applicable law.
3. Reservation of Rights and Ownership
The Application and all worldwide intellectual-property rights in it, including all copyrights, trademarks, trade secrets, and patents, are and will remain the exclusive property of the Company and its licensors. The Application is protected by copyright and other intellectual-property laws and treaties. "CallPayWall", "Paige", and "Paywall Inc." are trademarks of the Company. This EULA does not grant you any rights to the Company's trademarks or service marks.
4. Updates
The Company may, but is not obligated to, provide updates, upgrades, bug fixes, or new versions of the Application from time to time. Such updates may be automatically downloaded and installed, subject to your device settings. This EULA governs any updates unless the update is accompanied by a separate license, in which case that license governs. The Company may require you to install updates and may discontinue support for older versions.
5. Maintenance and Support
The Company is solely responsible for providing any maintenance and support services for the Application, as it determines necessary, or as required under applicable law. You acknowledge that, with respect to the version of the Application obtained from the Apple App Store, Apple Inc. ("Apple") has no obligation whatsoever to furnish any maintenance or support services for the Application. With respect to the version obtained from the Google Play Store, Google LLC ("Google") likewise has no obligation to furnish maintenance or support. Support requests should be directed to the Company at support@callpaywall.com.
6. Third-Party Services and Materials
The Application enables access to, and relies on, third-party services and content, including cloud hosting, telephony and SMS, payment, and app-store providers, and speech recognition, voice synthesis, and artificial-intelligence/large-language-model providers. Your use of those services may be subject to separate third-party terms and privacy policies, and you agree to comply with all applicable third-party terms of agreement when using the Application. The Company does not control and is not responsible for third-party services or content, and makes no warranties regarding them.
7. Recording, Transcription, and Monitoring
You acknowledge that, as part of the Application's functionality, calls handled through the Application may be recorded, transcribed by a speech-to-text provider, and screened and analyzed by AI/LLM providers. You are responsible for ensuring that such recording, transcription, and monitoring are lawful in all applicable jurisdictions, including providing any required notices and obtaining any required consents, as further described in our Terms of Service and Recording and Monitoring Notice.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE COMPANY AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CALLS, MESSAGES, OR PAYMENTS WILL BE COMPLETED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE APPLICATION OR THIS EULA. THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APPLICATION WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID FOR THE APPLICATION IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
10. Product Warranty and Apple Refund
To the extent the Application is provided with any warranty that it has not expressly disclaimed, and the Application fails to conform to such warranty, you may notify Apple (for the App Store version), and Apple will refund the purchase price (if any) you paid for the Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure of the Application to conform to any warranty will be the sole responsibility of the Company. The same allocation of responsibility applies, as between you and Google, to the version of the Application obtained from the Google Play Store.
11. Product Claims
The Company, and not Apple or Google, is responsible for addressing any claims relating to the Application or your possession and use of it, including: (a) product-liability claims; (b) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation, including in connection with the Application's use of any data-collection frameworks.
12. Intellectual-Property Claims
In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual-property rights, the Company, and not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual-property infringement claim, to the extent required by this EULA.
13. Legal Compliance and Export Controls
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List or Entity List. You agree to comply with all applicable U.S. and foreign export-control and sanctions laws and will not export, re-export, or use the Application in violation of such laws.
14. U.S. Government End Users
The Application and related documentation are "Commercial Items", as that term is defined under applicable U.S. Federal Acquisition Regulations, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation". Consistent with the applicable regulations, the Application is licensed to U.S. Government end users only as Commercial Items and with only those rights as are granted to all other end users under this EULA.
15. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically, without notice, if you fail to comply with any of its terms. The Company may also terminate this EULA or suspend your access to the Application as described in the Terms of Service. Upon termination, you must cease all use of the Application and delete all copies in your possession or control. Sections 2, 3, 8, 9, 10, 11, 12, 13, 16, and 17 survive termination.
16. Third-Party Beneficiaries
You acknowledge and agree that Apple and Apple's subsidiaries, and Google and Google's affiliates, are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple (with respect to the App Store version) and Google (with respect to the Google Play version) will have the right, and will be deemed to have accepted the right, to enforce this EULA against you as a third-party beneficiary.
17. Governing Law
This EULA is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this EULA is subject to the dispute-resolution provisions, including the binding arbitration agreement and class-action waiver (with a 30-day opt-out), set out in our Terms of Service, which are incorporated by reference. Notwithstanding the foregoing, this governing-law provision does not limit any mandatory consumer-protection rights you may have under the laws of your jurisdiction of residence.
