Terms of Service

Effective date: October 14, 2026

These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", or "User") and Paywall Inc., a Delaware corporation ("Company", "we", "us", or "our"), governing your access to and use of the CallPayWall service, including the CallPayWall iOS application, the CallPayWall Android application, the website located at callpaywall.com, the in-app AI assistant named "Paige", the telemarketer and caller portal, and all related features, content, and services we make available (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. SECTION 18 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. THESE PROVISIONS GOVERN HOW DISPUTES BETWEEN YOU AND THE COMPANY ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED BELOW.

1. Acceptance of These Terms

By creating an account, downloading, installing, accessing, or using the Service, or by clicking to accept or agree to these Terms when that option is made available to you, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all documents incorporated by reference, including our Privacy Policy, our Acceptable Use Policy (the "AUP"), our End User License Agreement (the "EULA"), our Recording and Monitoring Notice, and any applicable payment or payout terms. If you do not agree to these Terms, you must not access or use the Service.

We may make the Service available through arrangements with third-party platforms, including the Apple App Store and the Google Play Store. Additional terms applicable to those platforms are set out in Section 19 and in the EULA.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements, that all registration information you submit is truthful and accurate, and that you will keep it accurate. The Service is not directed to children, and we do not knowingly collect information from individuals under 18. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.

3. Description of the Service

CallPayWall is an AI-powered phone gatekeeper and virtual receptionist. The Service can answer your inbound telephone calls, screen callers live using our AI assistant, classify the intent of callers, and require commercial, sales, or solicitation callers to pay a fee that you set in order to reach you. The Service also enables you to:

  • Take over a screened call yourself at any time;
  • Offer callers an email-pitch channel as an alternative to a live call;
  • Offer call scheduling and voicemail;
  • Capture, store, organize, and, where permitted, resell business leads;
  • Rent telephone numbers and configure call-forwarding from your existing numbers; and
  • Configure pricing, greetings, screening behavior, and related settings.

The Service includes a separate portal (the "Caller Portal") through which paying callers, including telemarketers, may create and manage accounts, make payments, and manage their communications with account owners.

We may modify, add, or discontinue features of the Service at any time. The Service is provided on an ongoing basis and may depend on third-party platforms, networks, and providers that are outside our control.

4. Account Registration and Security

To use most features of the Service you must create an account. Account authentication is provided through our cloud authentication provider and related infrastructure. You agree to:

  • Provide accurate, current, and complete information during registration and keep it updated;
  • Maintain the confidentiality of your account credentials;
  • Use a strong, unique password and enable available security features such as two-factor authentication;
  • Be solely responsible for all activity that occurs under your account; and
  • Notify us promptly at support@callpaywall.com of any unauthorized use of your account or any other breach of security.

We are not liable for any loss or damage arising from your failure to safeguard your credentials or account. We may refuse, suspend, or cancel any account at our discretion as described in Section 16.

5. The Call-Screening and Charging Model

The core of the Service allows you, as an account owner, to set the fees that callers must pay to reach you and to configure how callers are screened. You acknowledge and agree that:

  • You set and control your fees. You are solely responsible for the fees you charge, the categories of callers you charge, the way you describe those fees, and the lawfulness and reasonableness of those fees in your jurisdiction and the caller's jurisdiction.
  • You control your screening. You are solely responsible for the screening rules, greetings, classifications, scripts, and AI configuration you select, including any instructions you give to Paige. The Company provides tools; you decide how to use them.
  • AI is assistive, not infallible. Caller classification, intent detection, transcription, and other AI outputs are automated and may be inaccurate, incomplete, or delayed. You should not rely on the Service for emergencies or for any communication where failure to connect could cause harm. The Service is not a substitute for emergency services. Never use the Service to block, delay, or charge for access to 911 or other emergency communications.
  • No guaranteed delivery. We do not guarantee that any particular call, message, email, voicemail, or payment will be delivered, screened, connected, or completed.
  • Caller charges and disputes. Fees charged to callers are charged on your behalf. You are responsible for your dealings with callers, including refunds, chargebacks, and complaints, subject to the payment terms in Section 8 and any separate payout terms.

You are responsible for ensuring that your use of the call-screening and charging model complies with all applicable laws, including consumer-protection, telecommunications, recording-consent, and unfair-practices laws.

6. User Content and License

"User Content" means any content you submit, upload, transmit, record, generate, or display through the Service, including greetings, scripts, screening configurations, lead records, profile information, messages, recordings you control, and other materials.

You retain ownership of your User Content. You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and technical purposes), transmit, display, and otherwise use your User Content solely to operate, provide, secure, improve, and support the Service, to comply with law, and as otherwise permitted under our Privacy Policy.

You represent and warrant that you have all rights necessary to grant this license and that your User Content, and our use of it as permitted here, does not and will not infringe or violate the rights of any third party or any law. You are solely responsible for your User Content.

7. Acceptable Use

Your use of the Service is subject to the AUP, which is incorporated into these Terms by reference and available alongside these Terms. Among other things, the AUP prohibits using the Service for illegal telemarketing, robocalling, or autodialing in violation of the Telephone Consumer Protection Act ("TCPA") or similar laws; harassment; fraud; spam; scams; unlawful recording; misuse of captured leads; circumvention of payment or screening; and abuse of the platform. Violations of the AUP are violations of these Terms and may result in suspension or termination and reporting to authorities.

8. Fees, Billing, Number Rentals, and Payouts

Payment processing. Card payments are processed by our third-party payment processor, and Apple Pay is supported where available. By providing payment information, you authorize us and our payment processors to charge the applicable amounts. The Company does not store full card numbers; payment-card data is handled by our payment processors under their terms.

Fees you pay. You agree to pay all fees applicable to the plans, features, and services you select. Unless otherwise stated, fees are exclusive of taxes, and you are responsible for all applicable taxes. Fees are non-refundable except as required by law or as expressly stated.

Number rentals. We offer telephone-number rental packages at the following recurring rates, which vary by country: US$3.95 per month for a local number and US$4.95 per month for a toll-free number. Rented numbers remain our property or that of our telephony provider, are subject to availability and regulatory requirements, and may be reclaimed if your subscription lapses, if required by a carrier or regulator, or as otherwise permitted. You must comply with all number-registration, messaging-registration (including US A2P 10DLC), and porting requirements.

Caller payments and owner payouts. Payouts to account owners are made through Stripe Connect and are subject to identity verification and "know your customer" (KYC) requirements. You must complete and maintain accurate KYC and tax information to receive payouts. Payouts, holds, reserves, reversals, chargebacks, fees, and related matters are governed by our separate payment and payout terms and by Stripe's applicable agreements, which you must accept to receive funds. We may withhold, delay, reverse, or offset payouts in connection with disputes, suspected fraud, AUP violations, chargebacks, or legal requirements.

Affiliate/referral program. If you participate in our affiliate or referral program, you may earn a default revenue share of 10%, or, where offered and agreed, a flat per-acquisition payout. Participation, payout calculation, eligibility, and termination are governed by the program terms we make available, and we may modify or discontinue the program subject to those terms.

Changes to fees. We may change our fees and introduce new charges on a going-forward basis with notice as required by law or these Terms.

9. Third-Party Services

The Service relies on and integrates with third-party services, including cloud hosting and authentication providers, telephony and SMS providers (including US A2P 10DLC registered messaging), payment processors (payments and payouts), app-store platforms (app distribution and in-app payments), speech recognition and voice synthesis providers, and artificial-intelligence/large-language-model providers (call transcription, screening, and quality review). Your use of those features may be subject to the third parties' own terms and privacy policies, and you agree to comply with them. We are not responsible for third-party services, and their availability and behavior are outside our control. Nothing in these Terms creates any obligation of those third parties to you except as expressly stated (see Section 19).

10. Call Recording, Transcription, and Monitoring Consent

You understand and agree that, as part of providing the Service, calls handled through the Service may be recorded, transcribed by a speech-to-text provider, and screened and analyzed by AI/LLM providers. Recording, transcription, and monitoring are essential to the Service and are described in more detail in our Recording and Monitoring Notice, which is incorporated by reference.

Recording-consent laws vary by jurisdiction, and some require the consent of all parties. As an account owner, you are responsible for ensuring that recording, transcription, and monitoring of your calls are lawful in your jurisdiction and the jurisdictions of your callers, including providing any required notices and obtaining any required consents. By using the Service, you consent to the recording, transcription, and monitoring of your own communications through the Service, and you agree to use the available notification and consent features appropriately. The Company is not responsible for your failure to comply with applicable recording-consent laws.

11. Intellectual Property

The Service, including all software, the Paige assistant, designs, text, graphics, logos, trademarks, and other content provided by the Company (excluding User Content), and all intellectual-property rights in them, are owned by the Company or its licensors and are protected by law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes. The mobile applications are also licensed under the EULA. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Service. "CallPayWall", "Paige", "Paywall Inc.", and related marks are trademarks of the Company; you may not use them without our prior written consent.

If you provide us with feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

Copyright complaints. We respect the intellectual-property rights of others and expect users of the Service to do the same. If you believe that content on, or submitted through, the Service infringes your copyright, you may send a written notice to our copyright contact at copyright@callpaywall.com, or by mail to the address in Section 21 (Attn: Copyright). Please include: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing and information reasonably sufficient to permit us to locate it; (d) your contact information (name, mailing address, telephone number, and email address); (e) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Response and counter-notice. We will respond to valid copyright complaints as required by applicable law, which may include removing or disabling access to material claimed to be infringing. Where applicable law provides for it, the user who submitted the material may send us a counter-notice.

Repeat infringers. In appropriate circumstances and at our discretion, we will disable or terminate the accounts of users who are determined to be repeat infringers.

12. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT CALLS, MESSAGES, EMAILS, VOICEMAILS, PAYMENTS, RECORDINGS, TRANSCRIPTIONS, OR AI CLASSIFICATIONS WILL BE COMPLETE, ACCURATE, OR DELIVERED; OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, OR FOR ANY MISSED, DELAYED, OR FAILED CALLS, MESSAGES, OR PAYMENTS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your fees, screening rules, recordings, or dealings with callers or leads; (d) your violation of these Terms, the AUP, the EULA, or any law, including the TCPA and recording-consent laws; or (e) your violation of any third-party right. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms, the AUP, the EULA, or any law; if required by a third-party provider, carrier, platform, or regulator; to protect the Service, other users, or third parties; or to address suspected fraud, abuse, or security risk. We may also discontinue the Service or any part of it.

You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination will survive, including Sections 5, 6, 8, 11, 12, 13, 14, 17, 18, and 20.

16. Account Deletion

You can delete your account at any time directly within the iOS and Android apps through the account settings, and via the account settings on callpaywall.com. In-app account deletion is available to all users. Deleting your account will terminate your access to the Service and will initiate deletion of your account data, subject to: (a) information we are required or permitted to retain by law, for legitimate business or security purposes, for tax and accounting, or to resolve disputes and enforce agreements; (b) records of transactions and payouts retained as required; and (c) information held by third-party providers under their own retention practices. Some data may persist in backups for a limited period before being overwritten. If you need help deleting your account or data, contact support@callpaywall.com.

17. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the arbitration agreement in Section 18, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.

18. Binding Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND THE COMPANY TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT AND WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

18.1 Agreement to Arbitrate. You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the existence, breach, termination, enforcement, interpretation, scope, or validity of this arbitration agreement (each, a "Dispute"), will be resolved by binding arbitration on an individual basis, except as set out below. This arbitration agreement is governed by the Federal Arbitration Act.

18.2 Exceptions. Either party may bring an individual claim in small-claims court if it qualifies. Either party may seek injunctive or other equitable relief in court to protect intellectual-property rights or to address unauthorized access or misuse of the Service. Nothing in this Section prevents either party from notifying relevant authorities of conduct.

18.3 Informal Resolution. Before initiating arbitration, the party raising a Dispute must send a written notice describing the Dispute and the relief sought to legal@callpaywall.com (if you are the claimant) or to your account contact (if we are the claimant). The parties will attempt to resolve the Dispute informally for 60 days. If not resolved, either party may commence arbitration.

18.4 Arbitration Procedure. The arbitration will be administered by a nationally recognized arbitration provider under its consumer arbitration rules then in effect. The arbitration will be conducted in the English language and, unless the parties agree otherwise, in Delaware or, at your election, in your home jurisdiction or by video or telephone. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.5 Class-Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL.

18.6 30-Day Right to Opt Out. You may opt out of this arbitration agreement (Section 18) within 30 days after first accepting these Terms by sending written notice to legal@callpaywall.com with your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms. If you opt out, the provisions of Section 17 (Governing Law) will govern your Disputes.

18.7 Severability and Survival. If the class-action waiver in Section 18.5 is found unenforceable as to a particular claim, that claim will be severed and may proceed in court, while the remainder of this Section continues to apply. This Section survives termination of these Terms.

19. Apple App Store and Google Play Terms

If you obtained the CallPayWall app from the Apple App Store, the following additional terms apply, and you acknowledge and agree that:

  1. These Terms are concluded between you and the Company only, and not with Apple Inc. ("Apple"). The Company, not Apple, is solely responsible for the CallPayWall app and its content.
  2. The license granted to you for the app is limited to a non-transferable license to use the app on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing where applicable.
  3. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the app. The Company, not Apple, is solely responsible for any maintenance and support, as described in these Terms and the EULA.
  4. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the Company's sole responsibility.
  5. The Company, not Apple, is responsible for addressing any claims you or any third party may have relating to the app or your possession and/or use of the app, including: (a) product-liability claims; (b) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation.
  6. In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual-property rights, the Company, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim, to the extent required by these Terms.
  7. You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. You must comply with applicable third-party terms of agreement when using the app.
  9. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Google Play. If you obtained the CallPayWall app from the Google Play Store, your use is also subject to the Google Play Terms of Service and the applicable Google Play Business and Program Policies, and you agree to comply with them. As between you and Google, the Company is solely responsible for the app and for support, maintenance, warranties, and claims relating to the app. Google is not a party to these Terms and is not responsible for the app.

20. General

Entire Agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements on the subject.

Changes to the Terms. We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by updating the "Effective date" above. Changes are effective when posted unless otherwise stated. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Force Majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, network or telephony failures, outages of third-party providers, or governmental action.

Notices. We may provide notices to you through the Service or by email. You may contact us as set out below.
